1. Acceptance of Terms

By creating an account, accessing, or using Riftr ("the Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and Riftr ("we," "us," or "our"). We may update these Terms from time to time. When we do, we will notify you via email or in-app notification. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.


2. Eligibility

You must be at least 13 years old to use Riftr. If you are between 13 and 17, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

By creating an account, you represent that:

  • All information you provide is accurate and current
  • You have the legal capacity to enter into this agreement (or have parental consent if a minor)
  • You are not prohibited from using the Service under applicable law

3. Accounts

Registration

You must register for an account using a valid email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Invitations and Collaboration

You may invite other users to collaborate on your projects via email or shareable link. By sending an invitation, you represent that you have a legitimate basis for contacting that person and that you will not use the invitation feature to spam or harass others.

Account Security

Notify us immediately at hello@riftr.com if you suspect unauthorized access to your account. We are not liable for losses resulting from unauthorized use of your account due to your failure to safeguard your credentials.


4. The Service — Free and Paid Tiers

Riftr offers both a free tier (with limited features) and a paid subscription.

Free Tier

The free tier provides access to core features subject to limitations (e.g., storage limits, number of projects or collaborators). We reserve the right to modify free tier limitations at any time with reasonable notice.

Paid Subscription

Paid subscriptions are available on a monthly or annual billing basis. Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Billing: You authorize us (or our payment processor) to charge your payment method on a recurring basis for the subscription fee in effect at the time of renewal.

Price Changes: We will provide at least 30 days' notice before increasing your subscription price. Continued use after the effective date constitutes acceptance of the new pricing.

Cancellation: You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then.

Refunds: If you are unsatisfied with your subscription, you may request a full refund within 14 days of your initial purchase or annual renewal. Refund requests after this window will not be honored except as required by applicable law. Partial-period refunds are not available for monthly subscriptions that are cancelled mid-cycle.


5. User Content

Ownership

You retain full ownership of all audio files, recordings, notes, comments, and other content you upload or create on Riftr ("User Content"). These Terms do not transfer any ownership rights to us.

License to Riftr

By uploading User Content, you grant Riftr a limited, non-exclusive, royalty-free, worldwide license to store, host, reproduce, and transmit your User Content solely as necessary to provide the Service to you and your invited collaborators. This license terminates when you delete your content or close your account, subject to the retention exceptions in our Privacy Policy.

Your Responsibility for Content

You are solely responsible for all User Content you upload, share, or transmit through the Service. You represent and warrant that:

  • You own or have all necessary rights and licenses to upload the content
  • Your content does not infringe the intellectual property, privacy, or other rights of any third party
  • Your content complies with all applicable laws

Riftr does not pre-screen User Content. We are not responsible for content uploaded by users, and we do not claim to monitor all content on the platform.

Copyright and Third-Party Music

If you upload content that includes music, samples, or recordings you did not create, you are responsible for ensuring you have the appropriate rights, licenses, or permissions to do so. Uploading copyrighted material without authorization may result in content removal or account termination.

We respond to valid copyright takedown notices in accordance with the Digital Millennium Copyright Act (DMCA). To submit a takedown request, contact us at hello@riftr.com with the following information:

  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on the Service
  • Your contact information
  • A statement of good faith belief that the use is not authorized
  • A statement under penalty of perjury that the information is accurate and you are authorized to act on the copyright owner's behalf
  • Your physical or electronic signature

6. Prohibited Conduct

You agree not to use the Service to:

  • Upload content you do not have the right to share
  • Harass, threaten, or intimidate other users
  • Impersonate any person or entity
  • Upload malware, viruses, or any code designed to disrupt or damage the Service
  • Attempt to gain unauthorized access to any part of the Service or another user's account
  • Scrape, crawl, or systematically extract data from the Service without our written consent
  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell or commercially exploit the Service without our express written permission

7. Enforcement and Termination

Content Removal

If we determine, in our sole discretion, that User Content violates these Terms or applicable law, we reserve the right to remove that content and notify the account holder.

Account Termination

We reserve the right to permanently suspend or terminate accounts that repeatedly violate these Terms, engage in abusive behavior, or pose a risk to the Service or other users. Where possible, we will provide notice before termination, but we reserve the right to act immediately where necessary to protect the integrity of the Service.

Your Right to Terminate

You may close your account at any time through the app's account settings. See our Privacy Policy for details on how your data is handled upon account closure.

Effect of Termination

Upon termination for any reason, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination (including Sections 5, 8, 9, 10, and 11) will remain in effect.


8. Intellectual Property — Riftr

All rights in and to the Riftr platform, including its software, design, trademarks, logos, and brand elements, are owned by or licensed to Riftr. Nothing in these Terms grants you any right to use Riftr's name, logo, or other brand assets without our prior written consent.


9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted, error-free, or secure
  • Any content uploaded by users is accurate, lawful, or non-infringing
  • Defects will be corrected

Your use of the Service is at your sole risk.


10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RIFTR AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR LOSS OF GOODWILL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RIFTR IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.


11. Dispute Resolution

Informal Resolution

Before filing any formal dispute, you agree to contact us at hello@riftr.com and give us 30 days to attempt to resolve the issue informally.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

You and Riftr each waive the right to a jury trial and the right to participate in a class action lawsuit or class-wide arbitration.

Arbitration will be conducted in Maryland or, at your election, via videoconference. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent infringement of intellectual property rights or unauthorized use of the Service.


12. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law principles. Any court proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Maryland.


13. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Riftr regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights without restriction.
